Terms of Service & Commercial Licensing Agreement
SUMMARY FOR CLIENTS: MD JAIN AI CREATIVE STUDIO operates as a world-class commercial visual agency combining master studio optics (Hasselblad, Phantom Flex, Arri) and neural diffusion pipelines. All client intellectual property remains strictly protected. Commercial broadcast and digital licensing rights transfer automatically upon receipt of final project payment.
01 — Engagement & Commission Scope
These Terms of Service ("Agreement") govern all creative commissions, video ads, product photography, neural 3D renders, CGI asset generation, and commercial campaigns produced by MD JAIN AI CREATIVE STUDIO ("Studio", "we", "us", or "our") for commissioning clients ("Client", "you").
A binding commercial agreement is established upon the occurrence of: (a) signed statement of work (SOW) or project quotation, (b) transfer of the required booking retainer deposit, or (c) submission of a formal project brief confirmed in writing by Creative Director MD Jain.
02 — Creative Direction & Deliverables
The Studio shall deliver production assets matching the technical specifications defined in the confirmed project statement of work. Standard deliverable specifications include:
- Commercial Films: Master deliveries in 4K DCI (3840 × 2160 or 4096 × 2160) ProRes 4444 XQ and Rec.709 color space, with multi-format social cutdowns (9:16 vertical, 4:5 feed, 16:9 widescreen).
- Product Still Visuals: 8K to 10K ultra-high-resolution master TIFF/PNG assets (up to 8192 × 10240 px) with 16-bit color depth, suitable for global billboard, print, and e-commerce hero deployments.
- 3D & Generative Assets: Custom PBR material mapping, microscopic surface displacement, caustic refraction simulations, and optional glTF/USDZ interactive models.
03 — Production Milestones & Revision SLA
To maintain uncompromising visual quality and predictable delivery timelines, all commissions follow structured review cycles:
- Standard Revision Cycles: Every commissioned deliverable includes up to two (2) comprehensive rounds of creative revisions during the active production schedule (Storyboard/Pre-visualization phase, and Rough Cut / Intermediate Color Grade phase).
- Client Feedback Turnaround: Client agrees to provide consolidated, written feedback within three (3) business days of deliverable preview transmission. Failure to provide feedback within five (5) business days automatically advances the production milestone.
- Out-of-Scope Alterations: Material script changes, post-final-approval conceptual pivots, or additional revision passes beyond the included two rounds are billed at the Studio standard commercial day rate of $2,500 USD / day or as agreed upon in a supplemental SOW.
04 — Commercial Usage Rights & Intellectual Property
Intellectual property and commercial usage rights are structured in accordance with global commercial advertising standards:
- Client Deliverable Ownership: Upon full and final settlement of all invoiced fees, Client is granted an exclusive, perpetual, worldwide commercial license to display, broadcast, publish, and distribute the final approved master deliverables across paid digital media, television broadcast, streaming platforms, social channels, and physical print/billboards.
- Studio Proprietary Tooling & Raw Assets: The Studio retains exclusive proprietary ownership over raw working project files (.blend, .c4d, .prproj, node graphs), proprietary AI neural prompt weights, LoRA training checkpoint files, and bespoke shader algorithms.
- Portfolio & Showcase Rights: Studio reserves the right to exhibit the finished commercial deliverables in our portfolio, case studies, awards entries, and social promotional reels, unless an explicit Non-Disclosure Agreement (NDA) or delayed-release embargo is agreed to in writing prior to production kick-off.
05 — Fees, Deposits & Payment Terms
Commercial production rates reflect the elite optical engineering and neural processing dedicated to each project:
- Retainer Deposit: A non-refundable booking deposit of 50% of the total project valuation is required to schedule studio rig dates, reserve GPU clusters, and commence pre-visualization.
- Final Balance: The remaining 50% balance is due upon review and approval of watermarked master previews, strictly prior to release of uncompressed, unwatermarked 8K ProRes/TIFF files.
- Accepted Payment Methods: Direct Corporate Wire Transfer (SWIFT/ACH), Stripe Enterprise Escrow, and Verified Digital Banking. Late payments exceeding 15 business days incur an interest surcharge of 1.5% per month.
06 — Cancellation & Kill Fees
In the event of project cancellation by Client prior to completion:
- Cancellations prior to production commencement: Deposit retained as studio reservation fee.
- Cancellations during active production: Client is billed for all labor hours, physical staging, and GPU compute incurred to date, but not less than 75% of the total contract value.
- Post-delivery cancellations: 100% of contract value remains payable in full.
07 — Confidentiality & Proprietary Assets
Studio maintains strict confidentiality regarding pre-release Client product samples, CAD models, trademark assets, and unannounced marketing campaigns. All physical prototype units dispatched to the studio are secured under 24/7 surveillance and returned or destroyed upon project conclusion at Client's instruction.
08 — Governing Law & Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws governing commercial advertising contracts, without regard to conflict of law principles. Any dispute arising under or in connection with this Agreement shall be resolved through confidential binding commercial arbitration.
